These Terms of Service ("Terms") are an agreement between you and Hokosha Inc. ("Hokosha", "we", "us") governing your use of MetaGraphy — the AI content studio at app.metagraphy.ai — and the website metagraphy.ai (together, the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and your account
- MetaGraphy is currently invitation-only. We may accept or decline requests for an invitation at our discretion.
- You must be at least 18 years old, or the age of majority where you live, to accept these Terms; if you use the Service on behalf of a company, you confirm you are authorised to bind it.
- You are responsible for keeping your sign-in credentials confidential and for everything that happens under your account. Tell us at once if you suspect unauthorised use.
- You may sign in with an email address and password or with Sign in with Google; those two methods create separate accounts unless we tell you otherwise.
2. The Service
MetaGraphy lets you build content out of blocks: text blocks that generate copy with large language models, creative blocks that generate images, video, music and voice, voice chat, compositions that assemble outputs into documents and video, and — on eligible plans — social publishing that posts your finished work to your own social accounts. The models, features and limits available to you depend on your plan and may change over time as we add, replace or retire models and features.
3. Membership, credits and payment
- The Service is offered as a monthly membership that includes a pool of credits; every generation draws credits from that pool at the rate shown in the app for the model used. Plans (currently Free, Plus, Pro and the OG plan) and their credit allowances are described in the app.
- Paid memberships are billed in advance and renew automatically each month until cancelled. Payments are processed by Stripe; by subscribing you also agree to Stripe's terms.
- You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable and unused credits expire at the end of the period, except where the law requires otherwise or we state otherwise in the app.
- We may change prices or credit allowances by giving you at least 30 days' notice; changes apply from your next renewal.
- If a payment fails we may downgrade or suspend paid features until it is settled.
4. Your content
- You own your content. As between you and Hokosha, you keep all rights in the prompts, files and other material you put into the Service ("Inputs") and, to the extent permitted by law and by the terms of the AI model providers we use, in the results generated for you ("Outputs"). We claim no ownership of Inputs or Outputs.
- Licence to us. You grant Hokosha a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, transmit and display your Inputs and Outputs solely as needed to operate, secure and improve the Service and to carry out your instructions (for example, to render a composition or publish a post you scheduled). This licence ends when you delete the content or your account, subject to reasonable backup cycles.
- Your responsibility. You are responsible for your Inputs and for how you use Outputs, including obtaining any rights and consents needed (people depicted, trademarks, music, third-party material) and complying with applicable law and, when publishing, each platform's rules.
- AI limitations. Outputs are produced by AI models. They may be inaccurate, incomplete, offensive, or similar to Outputs generated for others; the same prompt may not give the same result twice. Review Outputs before relying on or publishing them. We give no guarantee about their accuracy, originality or fitness for a purpose.
5. Acceptable use
You agree not to use the Service to:
- create, upload or publish content that is illegal, infringes intellectual-property or privacy rights, is defamatory, harassing, hateful, sexually explicit involving minors, or that promotes violence or self-harm;
- create deceptive media of real people without their consent, or content intended to mislead (including undisclosed synthetic media where disclosure is required);
- send spam, run bulk or automated publishing beyond what the app's normal use allows, or otherwise abuse a social platform's rules or rate limits;
- attempt to access other users' data, probe or disrupt the Service, reverse-engineer it, or use it to build a competing service or to scrape or resell model access;
- circumvent credit metering, plan limits or content safeguards, or share one account among several people.
We may remove content, suspend features or terminate accounts that violate this section, and we may report unlawful content to the authorities.
7. Third-party services
The Service relies on third-party providers — AI model providers, cloud hosting providers, our payment processor, and the social platforms you connect. Their availability, terms and pricing are outside our control; we may change providers, models or platforms without notice, and we are not responsible for their acts or omissions. Where a provider's terms apply to your use of a feature (for example the YouTube Terms of Service when you publish to YouTube), you agree to comply with them.
8. Our intellectual property
The Service — its software, design, block system, documentation, name and logos — belongs to Hokosha and its licensors and is protected by intellectual-property law. We grant you a limited, revocable, non-transferable licence to use it under these Terms. Feedback you give us may be used without obligation to you.
9. Suspension and termination
- You may stop using the Service and delete your account at any time (see Data deletion).
- We may suspend or terminate your access if you materially breach these Terms, if required by law, if your use creates risk or legal exposure for us or others, or if we discontinue the Service (with at least 30 days' notice where practicable).
- On termination your right to use the Service ends, queued social posts are cancelled and connected accounts are disconnected; sections that by their nature should survive (your responsibility for content, disclaimers, limitation of liability, governing law) survive.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service or Outputs will be accurate, uninterrupted, error-free or secure, or that posts will be published at any particular time.
11. Limitation of liability
To the fullest extent permitted by law, Hokosha will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or content, arising from your use of the Service, and our total liability for all claims relating to the Service in any 12-month period will not exceed the fees you paid us in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited under applicable law (for example liability caused by our wilful misconduct or gross negligence, or mandatory consumer-protection rights).
12. Indemnity
You will defend and indemnify Hokosha against third-party claims, and the resulting losses and reasonable costs, arising from your Inputs, content you publish through the Service, or your breach of these Terms or of a platform's terms.
13. Changes to the Service and these Terms
We may change the Service at any time. We may also update these Terms; the current version is always at metagraphy.ai/terms with its effective date at the top. For material changes we will give reasonable prior notice (for example, an in-app or on-site notice); continuing to use the Service after the effective date means you accept the new Terms.
14. Governing law and disputes
These Terms are governed by the laws of Japan. Any dispute arising from the Service or these Terms will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, without prejudice to mandatory consumer-protection rules in your country of residence. If a provision of these Terms is found unenforceable, the rest remains in effect. Where the English and Japanese versions of these Terms differ, the Japanese version prevails for users in Japan and the English version for all other users.

6. Social publishing
6.1 Availability
Social publishing is available on the OG and Pro plans. Only the platforms shown as available in the app are supported at any given time; the set of platforms, and the features and settings each supports, may change.
6.2 Your accounts, your content, your instruction
6.3 No guarantee of platform availability, quotas or review status
Publishing depends on third-party platforms and their APIs, which we do not control. We do not guarantee that a platform or its API will be available, that a post will be published at exactly the scheduled time or at all, or that a platform will accept a given file, length or format. Platform-side quotas (for example a daily limit on YouTube uploads shared by all MetaGraphy users), API changes, outages, and the review or verification status of our platform apps (which may, for example, cause an "unverified app" notice, restrict uploads to private visibility, or limit the number of users) can delay, restrict or prevent publishing. We may pause, limit or withdraw publishing to a platform at any time, and we are not liable for posts that are delayed, restricted, rejected or removed by a platform.
6.4 Media copies
To publish, a temporary copy of the selected media is transferred to our systems and deleted about 7 days after the post is published; your originals remain in your MetaGraphy storage. Keep your own copies of anything important — we are not a backup service.
6.5 Plan changes, cancellation and downgrade
If your plan no longer includes social publishing (because you downgrade, cancel, or a payment fails): (a) any posts still queued or scheduled are cancelled immediately and will not be published; (b) connecting accounts and publishing are disabled at once; (c) your connected accounts remain listed for a grace period of approximately 30 days so you can review or disconnect them, after which the connections and their tokens are removed from our systems. Re-subscribing to an eligible plan within the grace period restores publishing without reconnecting; cancelled posts are not restored.
